Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the website “https://asteriskdigital.com.np” and all services provided by Asterisk Digital (“Asterisk Digital”, “we”, “us”, “our”). By accessing the Site, using any of our services, or engaging with us (in writing, verbally, or otherwise), you (“Client”, “you”, “your”) agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Site or our services.

1. Scope of Services

Asterisk Digital provides a comprehensive range of digital and creative solutions, including but not limited to:

Creative & Design Services: Logo design, illustrations, social media packs, presentations, merchandise design, NFT branding, YouTube thumbnails/banners, graphic design, copy writing.
Content & Writing Services: SEO blogs, resumes, eBooks, scripts, ad copywriting, newsletters, product descriptions, PPC campaigns.
Tech & Development: Website maintenance, bug fixes, landing page design, SEO audits, small coding/API tasks, website optimization, e-commerce platforms.
Business & Admin Support: Virtual assistance, bookkeeping, CRM setup, data entry, Excel automation, proposal/pitch deck design.
Education & Coaching: Tutoring, micro-course development, productivity coaching, public speaking prep, parenting/relationship coaching.
Marketing & Growth: Social media management, ad campaigns, influencer brokerage, growth consulting, email automation, SEO strategies, lead generation funnels.
Media Production: Podcast editing, voiceovers, video editing (YouTube, reels/TikTok), subtitling, royalty-free music, audiograms.
Niche & Digital Consulting: Notion workspace design, Shopify/WooCommerce setup, AI prompt engineering, MidJourney art, travel planning.

We may change, enhance, or discontinue some services over time. If required, we will notify you of material changes that affect your project or service.

2. Project Proposals, Quotations & Acceptance

Proposals detail scope, deliverables, pricing, timelines, and any special conditions.
Quotations are valid for 30 days unless otherwise stated.
A quotation becomes binding once written acceptance (e.g., signed agreement, email confirmation) and any initial payment are received.

3. Payment, Fees, and Invoicing

Standard deposit: 50% upfront, balance on delivery.
Small projects (Under NPR. 20,000) may require full upfront payment.
Invoices are due within 14 days unless otherwise specified.
Late payments may accrue 5% per month interest.
Additional costs (third-party assets, ad-spend, hosting, licenses, etc.) are the Client’s responsibility unless included in the quotation.
Payments accepted in NPR or mutually agreed currencies.

4. Client Responsibilities

You agree to:

Provide timely content, access, feedback, and approvals.
Ensure rights/licenses to third-party materials supplied.
Appoint a single point of contact for streamlined communication.
Understand delays on your part may affect timelines and costs.

5. Timeline, Delivery & Revisions

Timelines are estimates; delays may occur due to complexity or late inputs.
Final deliverables are released after full payment.
Quotations usually include 2–3 minor revisions. Additional or major revisions are billable.
Standard websites: 15 business days.
Complex projects(e.g., branding campaigns, e-Commerce ): 30-60 business days

Delays caused by the client (e.g., late feedback or missing content) may extend delivery or add a surcharge of up to 25% if delayed beyond 10 days.

6. Acceptance, Cancellation & Refunds

Deliverables must be reviewed within 7 calendar days.
Cancellation by Client: Payment required for work completed plus any non-refundable costs.
Cancellation by Asterisk Digital: May occur if you breach these Terms, fail to pay, or obstruct performance.
Refunds: Full refunds are generally not available; partial refunds may be considered case-by-case.
Additional revisions or major changes will be billed at NPR 2,500/- or USD 20 per hour.

7. Ownership & Intellectual Property

On full payment, you receive rights to final deliverables as agreed.
We retain ownership of pre-existing assets, tools, frameworks.
We may showcase completed projects in our portfolio unless you request otherwise in writing.

8. Confidentiality & Data Protection

We protect confidential data using reasonable measures.
Not liable for breaches beyond our control (third-party systems, internet failures).

9. Limitation of Liability

Our liability is capped at fees paid for the project.
No liability for indirect, incidental, or consequential damages (e.g., lost profits, data).

10. Warranties & Disclaimers

Services will be performed with reasonable care & skill.
No warranties beyond those expressly stated.
No guarantee of third-party service uptime (plugins, APIs, hosting providers).

11. Hosting, Maintenance & Support

Hosting/maintenance agreements will specify frequency, costs, and support SLAs.
Support is only valid with current payments.

12. Force Majeure

We are not liable for non-performance caused by events beyond control (e.g., natural disasters, government actions, strikes, epidemics, infrastructure failures).

13. Changes to Terms

Terms may be updated; the new version will be published with a revised “Last Updated” date.
Continued use = acceptance of changes.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Nepal.
Disputes will be resolved under the jurisdiction of the courts in Kathmandu, Nepal.

15. Miscellaneous

Entire Agreement: These Terms + quotation/proposal = entire agreement.
Severability: Invalid provisions will not affect remaining Terms.
Assignment: No rights can be transferred without written consent.
Waiver: Failure to enforce rights is not a waiver of future rights.
